Background/overviewThe Nasdaq Governance Director is part of a new subject matter expert function with Nasdaq Governance Solutions whose work focuses on two principle areas:1. The development of progressive and best practice guidance materials on a broad range of corporate governance and corporate secretarial matters at both the tactical level (working practices) and strategic level (framework/policy) delivered in written guidance notes, reports, position papers, articles and templates, and through video and online and in-person events.2. Supporting colleagues in sales and other teams by corresponding and meeting with clients and prospects as a Nasdaq governance subject matter expert, delivering the abovementioned guidance and evangelizing - as a former practitioner and thought-leader - how products, such as Nasdaq Boardvantage, can best be leveraged.Summary of Job Responsibilities:Governance content development & deliveryDemonstrate Nasdaq's thought leadership capabilities and value as a governance partner by researching, developing and writing a wide range of substantive, progressive and best practice material on corporate governance and corporate secretarial matters - including board-related issues, governance frameworks, annual meeting issues, executive compensation, shareholder engagement, ESG and ethics, along with emerging issues - and delivering this in various forms including memoranda, guidance notes, articles, reports, position papers, templates and other written materials - for internal and external consumption.Represent Nasdaq by participating as a speaker at industry events, conferences and panels; take part in broadcast and other media, including Nasdaq's own; collaborate and contribute content for webinars and other client- and outward-facing events.Function with a 'think-tank' mindset, engaging in and developing research, and reporting findings through the abovementioned channels.Monitor industry trends, news, policy, legislative and regulatory changes and other relevant information; relay and interpret this data to colleagues in NGS and to the larger Nasdaq group on a frequent basis, highlighting key items for external promotion.Maintain current relationships and build new ones with the corporate secretary (or equivalent) at client firms, corporate secretaries in practice, attorneys, professional services firms, trade associations, issuers, regulators and others in the corporate governance industry.Participate in campaigns by the wider Nasdaq group to absorb and embody Nasdaq's value proposition.Ensure external-facing written material is consistent, up-to-date and reflects well on Nasdaq's brand equity and reputation.Supporting sales and other functionsWork with sales colleagues to correspond and meet with clients and prospects in your capacity as a Nasdaq governance subject matter expert and developer of Nasdaq's governance thought-leadership.As a former practitioner and current thought-leader, evangelize to clients and prospects how NGS products, such as Nasdaq Boardvantage, can best be leveraged to digitize governance practices and improve efficiencies in corporate secretarial working practices so clients can focus on deeper governance matters.Provide industry and subject matter training and education to colleagues in sales and other teams, ensuring they possess a strong understanding of the principles of corporate governance, along with key corporate secretarial practices that relate to NGS products.Frequently produce talking points for sales colleagues on topical issues.Expand and develop product offerings to create revenue opportunities and address evolving client needs.Experience, skills and person specificationBe authentic evangelist on corporate governance matters and for the profession of the corporate secretary and governance professional.Have a passion for sharing knowledge and promoting best practice, and doing so in writing, in-person and through media.Be an eager reader, researcher and writer, and have exceptional English language skills, both oral and written.Have experience with / a working knowledge of:Working with a Board of DirectorsOrganizing and servicing of a public company or large private organization board and its committees (agenda, papers, minutes, tracking actions, terms of reference/charters, board evaluations, directors' inductions)Drafting/strong understanding of governing documents (articles of association, bylaws).Implementing, designing or operating an organization's corporate governance framework (governance guidelines, directors independence, codes of conduct, committee terms of references/charters, executive and director compensation, board composition, shareholder engagement, CEO performance, board assessment and evaluation)A board's annual meeting schedule and forward agenda (strategic plan)Disclosures such as the annual report, and/or Stock Exchange announcements, such as interim and annual results announcements, trading updates.The logistics of the Annual Meeting (AGM), along with the notice of meeting, ancillary documents and Chairman's script.Ensuing the Board of Directors is kept abreast of relevant changes to legislation through researching topics and the production of briefing papers.Share issues, dividends, shareholder enquiries.Market abuse regulations (ideal)Minimum 5 - 10 years experience of working in a Corporate Secretarial / governance role in a US-based public limited company or large private company/organizationLaw degree and legal experienceKeeping up to date with developments in company law/corporate governance and developing processes in line with changing best practiceExcellent English language skills, both written and oralExcellent face to face and virtual (email, Skype, telephone) communication skillsNasdaq is an equal opportunity employer.
